چکیده:
از سالیان گذشته انتخاب شریک در قراردادهای بالادستی صنعت نفت و گاز یک استراتژی هوشمندانه و یک تصمیم مهم در ایجاد مشارکت ها و یا ترمیم آن میباشد. به دلیل پیچیدگیها و مشکلات قابل حدوث در حین اجرای پروژههای نفت و گاز و جهت جلوگیری از توقف کارها و خساراتی که ممکن است از این حیث به طرفین قرارداد پایه وارد شود، پیشبینی راهکارها و مکانیزمهایی جهت مقابله با وضعیت مذکور ضروری است. یکی از راهکارهایی که در صنعت نفت وگاز بخصوص در کشورهای آمریکا و کانادا رواج دارد انعقاد قرارداد Farm-out یا Farm-in است. این تحقیق در پی این است که ضمن معرفی انواع مشارکتهای بینالمللی، نحوه ورود و خروج از قراردادها و مشارکتهای نفتی را در قالب قراردادهای Farm-out و Farm-in مشخص نماید. در این نوع قراردادها که دارای محتوای تقریبا مشابه میباشند طرف واگذار کننده بخشی از منافع قراردادی یا سهم الشرکهی خود را در ازای انجام عملیات و یا پرداخت هزینهی آنها به طرف واگذار شونده انتقال میدهد. به دلیل ورود واگذارشونده به قرارداد پایه و واگذاری بخشی از قرارداد، رضایت دولت میزبان شرط موثر شدن قراردادهای Farm-out و Farm-in است و درصورتیکه کنسرسیوم طرف قرارداد با دولت باشد، کسب رضایت سایر شرکا جهت انتقال تمام یا قسمتی از سهم الشرکه به شخص ثالث ضروری میباشد. این قراردادها اگرچه در بیشتر مراحل عمر یک میدان قابلیت استفاده دارد اما اغلب به دلیل ریسک و هزینههای بالا در مرحله اکتشاف، بیشتر در این مرحله به کار گرفته می شوند.
Abstract For many years, selecting partners in upstream agreements of the oil and gas industry is a smart strategy and an important decision in creating or restoring partnerships. Due to the complexities and the problems may be occurred during the implementation of oil and gas projects and to prevent the stoppage of work and damage that may be entered into by the parties to the basic contract, anticipating the solutions and mechanisms to deal with this situation is necessary. One of the solutions that is prevalent in the oil and gas industry, especially in the US and Canada, is the conclusion of a Farm-out or Farm-in contract. The study tries to introduce types of international partnerships, at the same time, specifies how to enter and quit oil contracts and partnerships in the form of Farm-out and Farm-in contracts. In these types of contracts, which have almost the same content, the assigning party transfers a part of the contractual interests or shareholding in return for carrying out the operation or paying them to the assigning party. Due to the entrance of the assigning party to the base contract and the assignment of a part of the contract, the consent of the host government is the condition of the effect of the Farm-out and Farm-in contracts, and if the consortium is the party to the contract with the government, obtaining the consent of the other partners to transfer all or part of the share of the company to a third party is necessary. These contracts, although in most stages of the life of a field are likely to be used, but due to the high risk and cost of the exploration phase are employed in this stage.
